Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and BossKit ("BossKit", "we", "us", or "our") governing your access to and use of the bosskit.co website and our services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Who may use the Services

You must be at least the age of majority in your province or territory of residence and able to enter into a binding contract under Canadian law. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Description of Services

BossKit provides business incorporation packages and related document and advisory services in Canada. Certain Services include legal work performed by licensed Canadian lawyers. Other Services (e.g., document preparation tools, account features) are non-legal services provided by BossKit directly.

4. Legal services and the lawyer–client relationship

BossKit is not a law firm. Where the Services include legal work, that work is performed by a licensed Canadian lawyer or law firm, and a lawyer–client relationship is formed only with that lawyer or firm — not with BossKit — and only once an engagement is confirmed in writing. Communications with that lawyer are subject to solicitor–client privilege.

Information provided on our website is for general informational purposes only and does not constitute legal advice. Do not act or refrain from acting based on website content without obtaining advice from a qualified professional.

5. Accounts and information you provide

You agree to provide accurate, current, and complete information, and to keep it up to date. You are responsible for safeguarding any credentials and for activity that occurs under your account. You must notify us promptly of any unauthorized use.

6. Fees, payment, and taxes

Fees for the Services are displayed at checkout and are payable in Canadian dollars unless otherwise stated. Government and registry fees are passed through and clearly identified. Applicable taxes (GST/HST/PST/QST) will be added where required. Payment is processed by our third-party processor; by submitting payment you agree to its terms.

7. Refunds and cancellations

Where work has not yet commenced, you may cancel for a full refund of BossKit fees. Once work is in progress, refunds are pro-rated based on work performed and any third-party or government fees already incurred (which are generally non-refundable). 8. Your responsibilities

  • Provide truthful, accurate, and complete information.
  • Review all documents we prepare before signing or filing.
  • Comply with all applicable Canadian federal, provincial, and territorial laws.
  • Do not use the Services for unlawful, fraudulent, or harmful purposes.

9. Acceptable use

You agree not to:

  • interfere with or disrupt the Services or servers;
  • attempt to gain unauthorized access to any portion of the Services;
  • reverse engineer, scrape, or copy the Services other than as permitted by law;
  • upload viruses, malware, or other harmful code;
  • infringe the intellectual property or privacy rights of others.

10. Intellectual property

The Services, including all software, content, branding, and templates, are owned by BossKit or its licensors and are protected by Canadian and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of information and documents you provide; you grant us a licence to use them as needed to provide the Services.

11. Third-party services

The Services may rely on third-party providers (e.g., government registries, payment processors, cloud hosting). We are not responsible for the acts, omissions, or content of third parties, and your use of those services is subject to their terms.

12. Disclaimers

Except as expressly set out in these Terms and to the maximum extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any information will be accurate or complete.

Nothing in these Terms limits any non-excludable rights or remedies you may have under applicable Canadian consumer protection law.

13. Limitation of liability

To the maximum extent permitted by law, BossKit and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities, arising out of or in connection with the Services. Our aggregate liability for any claim relating to the Services will not exceed the amount you paid to BossKit for the Service giving rise to the claim in the 12 months preceding the event giving rise to liability.

This section does not limit liability for matters that cannot lawfully be limited, including (where applicable) liability for gross negligence, fraud, or wilful misconduct, or any non-excludable obligations under provincial consumer protection legislation.

14. Indemnity

You agree to indemnify and hold harmless BossKit and its representatives from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law or the rights of any third party.

15. Suspension and termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. You may stop using the Services at any time. Sections that by their nature should survive termination (including fees owed, IP, disclaimers, limitations of liability, indemnity, and governing law) will survive.

16. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any non-waivable rights you have under provincial consumer protection law, you and BossKit submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Services.

18. Language

The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que la présente convention ainsi que tous les documents s'y rattachant soient rédigés en anglais.

19. Changes to these Terms

We may update these Terms from time to time. The "Effective date" above reflects the most recent version. Material changes will be brought to your attention where required by law. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
