Definition of Terms


Basic Incorporation A basic incorporation is best for small, private enterprises. The resulting company will have: a) 1 or 2 classes of shares, b) a maximum of 10 Directors, c) an assigned numbered Corporate name, d) simple Articles based on the stipulations of the Canada Business Corporations Act.
eMinute Book An eMinute Book is an electronic version of a Corporate Minute Book. Traditionally, Minute Books were binders that contained all important corporate documents including, but not limited to, the following: Articles of Incorporation, Shareholders Agreement, Bylaws, Shareholders Register, Directors Register, etc.
NDA Non-Disclosure Agreement is also called a Confidentiality Agreement and is a contract that is used to protect sensitive information by prohibiting the parties from sharing it with unauthorized persons.
NUANS Name Search All applications to Corporations Canada for approval of a Corporate Name must contain a NUANS name search report. The report reveals corporate names, business names and trademarks that are similar to the one being proposed.
S.A.F.E. SAFE is a legal instrument that was invented by the famous incubator YCombinator. The acronym stands for Simple Agreement for Future Equity.
Shareholders Agreement The contract that defines the rights and obligations of the shareholders with respect to a corporation. It can include the company as a party, but it is usually between the shareholders.
